Welcome to Wyffels.com (the “Site”). Wyffels Hybrids, Inc. ("Wyffels," "we," "us," or "our") provide our Site, including all of its Content, features, and functionality, for your personal use subject to these Terms and Conditions (the “Terms”).

Please read these terms carefully. By visiting, shopping on, or otherwise interacting with our site, you are entering into a binding contract with us in accordance with these terms. If you do not accept these terms, do not use our site.

These terms contain a mandatory mutual arbitration agreement (the “arbitration agreement”). Under the arbitration agreement, you agree that we will resolve all disputes between you and us by binding arbitration on an individual basis. You understand that you are giving up the right to bring or participate in a clss action or mass arbitration, the right to a court proceeding, and the right to a jury trial.

1. Age requirement

You must be at least 18 years old or the age of majority where you live to use our Site. If you are not, then your parent or legal guardian must agree to these Terms on your behalf, and you may only access and use our Site with permission from your parent or guardian.

2. Cookies, pixels, session replay and other tracking technologies (adtech)

We use cookies, pixels and other tracking technologies (“adtech”) on our site. We use adtech to collect and perform data analytics, to record how you interact with our site and the content and to serve you with targeted advertisements. By visiting and using our site, you are consenting to our use of adtech and understand and agree that w may share personal data about you that we collect through adtech with our third-party advertising and analytics partners.

3. Acceptable use

You are authorize to access our Site for the sole purpose of viewing and using the Content, features, and functionality available on or through our Site on your computer or device. If you fail to abide by these Terms, we reserve the right to terminate your access to our Site and we may pursue legal actions, including to protect our intellectual property rights or the intellectual property rights of others. If you use our Site, you must comply with the following:

  1. No Violation of Applicable Laws. You may not use our Site for any illegal or unauthorized purpose. You must comply with all laws, rules, and regulations (for example, federal, state, local and provincial) applicable to your use of our Site, including but not limited to, copyright laws.
  2. No Copying or Republication. You may not decompile, disassemble, rent, lease, loan, sell, sublicense, or create derivative works from our Site, or any Content thereon.
  3. No Unauthorized Sharing. You may not use any information or shared with you from another user or account owner for any purposes except in connection with the use of our Site, unless you have otherwise obtained permission for such use from the owner of such information.
  4. No Scraping. You may not use any robot, spider or other automatic device or manual process to scrape, monitor, mine, retrieve or copy our Site or its Content without our prior written permission.
  5. No Linking or Framing. You may not link or frame to any pages of our Site or any of its Content except as may be specifically authorized by Wyffels in advance and in writing.
  6. Limits on User Content. You agree not to submit any User Content that is harassing, defamatory, threatening, disparaging, inflammatory, false, misleading, deceptive, fraudulent, inaccurate or unfair, contains gross exaggerations or unsubstantiated claims, violates the privacy rights or right of publicity of any third-party, is harmful or offensive to any individual or community, contains any actionable statement, tends to mislead or reflect unfairly on any other person, business or entity or contains copyrighted content without the express permission of the owner of the copyrights in the content.
  7. Protection of Intellectual Property Rights. You shall not violate the intellectual property rights of any person or entity when using our Site or its Content or in providing any User Content.
  8. No Use with AI. You are prohibited from using or incorporating all or a portion of our Site or its Content into any large learning model, algorithmic software program, data set, AI Model or generative AI tool, including, but not limited to, training or using the Content in developing or operating any AI technologies or for automated decision making.
  9. Protection of Personal Data. You will not disclose any personal data or image of another individual without that person’s prior written consent. You will not post any personal data or likeness of a minor.
  10. No Harmful Behavior. You will not submit inaccurate information via our Site or your Account, commit fraud or falsify information in connection with your use of our Site or your Account or act maliciously against the business interests or reputation of Wyffels, its employees or its customers. You will not interfere with another person’s or entity’s use or enjoyment of our Site. You will not use our Site or submit User Content to promote a cause or movement, whether political, religious or otherwise, or to use our Site for chain letters or texts, junk mail, spamming or use of distribution lists. You will not act maliciously against the business interests or reputation of Wyffels.
  11. No Impersonations. You may not impersonate or attempt to impersonate another user or person when using our Site or when making a purchase.
  12. No Commercialization. You shall not advertise, promote or offer to trade any goods or services using our Site, or use our Site to create a competing website or business.
  13. No Assignment. You will not sell or otherwise transfer your Account.
  14. No Interference with the Operation of our Site. You will not engage in activities designed to disable, damage or change the functionality or appearance of our Site, to render our Site inoperable or to make it more difficult to use. You will not use our Site to access or attempt to access our network or infrastructure, another Account, or any other unauthorized access to our Site.

4. User accounts

  1. To access certain areas or features of our Site, you may be required to create a user account or use an existing account (“Account”). You acknowledge that your Account is personal to you and agree not to provide any other person with access to our Site or portions hereof and not to share your username, password or other security information.
  2. We recommend using a strong, unique password to protect your Account. You agree to notify us immediately of any unauthorized access to or use of your Account. You also agree to ensure that you exit from your Account at the end of each session.
  3. We have the right to disable any username, password, or other identifier whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms.

5. Products and services

  1. Wyffels Hybrids offers a range of agricultural products and services, including but not limited to seed products, tools, and resources related to hybrid corn. All features, availability, specifications, and prices of products and services described or depicted on our Site are subject to change at any time without notice. The inclusion of any products or services on our Site at a particular time does not imply or warrant that these products or services will be available at any time.
  2. Prices for our products and services are subject to change without notice. We will not be liable to you or any third-party for any modification, price change, suspension, or discontinuance of our Site or a specific product or service. In the event a product or service is listed at an incorrect price, we have the right to refuse or cancel orders placed for the product or service listed at the incorrect price, regardless of whether the order has been confirmed or your credit card charged. If your credit card has already been charged for the purchase or you have already paid for the products or services and your order is canceled, we will issue a full refund to your credit card account or will otherwise refund any money you have paid for such cancelled products or services. Individual bank policies will dictate when this amount is credited to your account.
  3. Wyffels will arrange for shipment of the products to you using a shipper of our choice, unless otherwise indicated on our Site. You will pay all shipping and handling charges unless otherwise specified in the order confirmation. Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. Wyffels is not liable for any delays in shipments.
  4. You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. Wyffels must accept each order. Your receipt of an electronic or other form of order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. Wyffels reserves the right at any time after receipt of your order to accept or decline your order for any reason. Wyffels reserves the right to reject any order you place, and/or to limit quantities on any order, without giving any reason. If Wyffels rejects your order, we will generally attempt to notify you using the email address you provided when you placed the order.
  5. We attempt to display product images shown on our Site as accurately as possible. However, we cannot guarantee that the color you see matches the product color, as the actual color you see depends on your device set-up. All descriptions of products are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product or service at any time.
  6. Seed Orders can be cancelled any time up until the seed is planted. Returns are accepted if the bags are not wet, torn or opened in any way, and the bags must not have rodent damage.   7. We reserve the right, but are not obligated, to limit the sales of our products ad services to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer. We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same Account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
  8. You agree to provide current, complete, and accurate purchase and account information for all purchases made through our Site. You agree to promptly update your Account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed. Payments are processed by our PCI-compliant third-party payment processor. If the credit or debit card information that you submit is incorrect or invalid, your payment will not be processed. We have no responsibility or liability if your credit or debit card is declined by your financial institution.
  9. Taxes that appear in your online order confirmation are estimated. Because orders may be fulfilled from multiple locations across the U.S., the actual taxes charged to your credit card will be calculated based on the applicable state and local sales taxes when your order is shipped. A minor post-charge adjustment may be made to your credit card account to ensure that we collect the correct amount of actual taxes.

6. User Content

  1. We may provide you with the opportunity to upload, import into, or create (collectively, “Submit”) text, information, communication, or material, such as audio files, video files, or images (collectively, “User Content”). By Submitting User Content through our Site or social media websites, you grant Wyffels a non-exclusive, perpetual, worldwide, royalty-free, transferable, sublicensable, worldwide, irrevocable license to use, transmit, reproduce, commercialize, distribute, modify, create derivative works from, and otherwise exploit such User Content (including any related intellectual property rights) for any and all purposes. You agree that we are not required to provide further notice to you, attribution, or payment to you or any other person or entity, except as otherwise expressly provided herein. You agree that this license provides Wyffels with the right to use User Content to provide, improve, and develop our Site and other products and services.
  2. When you Submit User Content, you represent and warrant to us that: (1) you own or have the necessary rights to use and share the User Content; (2) Submitting the User Content does not violate any rights of any person or entity; and (3) you have no agreement with or obligations to any third-party that would prohibit your use of our Site in the manner so used.
  3. You agree that we may, in our sole discretion, remove User Content at any time.
  4. You agree not to include any Personal Data about yourself or any other person in any User Content except as requested or required by Wyffels.

7. Feedback and suggestions

  1. We are always pleased to receive input from our customers and welcome your comments and feedback. If you provide Wyffels any suggestions, recommended changes, comments, questions, suggestions, or the like regarding our Site, our products, or other services Wyffels provides (“Feedback”), Wyffels is free to use the Feedback for any lawful purpose, without any attribution or compensation.
  2. We do not to accept or consider new products, engineering drawings, advertisements, creative ideas, suggestions, or materials other than ideas that we have, in writing, specifically requested. Please do not submit any unsolicited inventions, creative suggestions, ideas, notes, drawings, concepts, or other similar information. You agree that any such unsolicited information shall become, and will forever remain, our property. No such submission of any information will be subject to any obligation of confidence on our part and we shall not be liable in any way for any use or disclosure of any such submission of information. Wyffels shall exclusively own all now-known or future existing intellectual property rights to any unsolicited information of every kind and nature submitted to it, and shall be entitled to unrestricted use of such information for any purpose whatsoever, commercial or otherwise, without any consideration being owed or due to you.

8. Intellectual property

All data, information, text, graphics, names, design, photographs, videos, news, reports, logos, product and service names, slogans, and other materials on our Site as well as the layout and look and feel of our Site (collectively, “Content”) is the sole and exclusive property of Wyffles and/or its licensors as applicable and are protected by United States and international copyright, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use our Site for your personal, non-commercial use only. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of our Site in breach of these Terms, your right to use our Site will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to our Site or Content is transferred to you, and all rights not expressly granted are reserved by Wyffels. Any use of our Site not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.

9. Privacy

We may collect certain Personal Data from or about you, including when you use our Site or otherwise interact with us. To learn more about how we collect, use, disclose and secure your Personal Data, please see our Privacy Policy.

10. Disclaimers

  1. Our site and content are provided on an “as is” and “as available” basis. To the fullest extent permissible by applicable law, wyffels disclaims all warranties, express or implied, including, but not limited to, the implied warranties of merchantability, noninfringement, and fitness for a particular purpose, as to the operation of our site or content. You agree that your use of our site is at your sole risk.
  2. We do not assume any responsibility, and shall not be liable for any damages to, or viruses or other harmful or malicious code that may infect or affect, your computer, device, telecommunication equipment, or other property caused by or arising from your access to, use of, or browsing of our site, linking to a third-party site, or your downloading of any content or other materials or information from our site and will not be liable for any loss or damage arising from the unlawful, malicious, negligent, or wrongful conduct of third parties.
  3. All products and services purchased on or through our site are subject to only the applicable warranties for such products and services provided by wyffels, if any. To the fullest extent permissible by applicable law, wyffels hereby disclaims all other warranties of any kind, either express or implied, with respect to the products and services listed or purchased on or through our site.

The foregoing does not affect any warranties that cannot be excluded or limited under applicable law.

11. Limitation of liability

  1. In no event will we, our subsidiaries and affiliates, and our and their respective officers, directors, employees, agents, and other representatives (collectively, the “released parties”) be liable to any party for any indirect, special, punitive, exemplary, incidental, or consequential damages (including those resulting from lost profits, lost data, or business interruption) arising out of the use, inability to use, access, or the results of use of our site or content, whether based on warranty, contract, tort (including our negligence), or any other legal theory and whether or not advised of the possibility of such damages.
  2. In the event of any problem with our site or content, you agree that your sole remedy is to cease using our site. This limitation of relief is a part of the bargain between you and wyffels.
  3. In the event of any problem with the products or services that you have purchased on or through our site, subject to the exclusions below, you agree that your sole remedies are to seek a return and refund for such product or service in accordance with the return policy provided in these terms or, if applicable, as set forth in the documentation included with the product or service, or in accordance with the warranty, if any, provided by wyffels for such product or service.
  4. The foregoing limitations of liability do not apply to: (1) claims for personal injury or death caused by our negligent acts; or (2) damages arising from our intentional, willful, or reckless misconduct. Nothing in these terms purports to exclude attorneys’ fees or damages where mandated by statute.

12. Indemnification

You agree to indemnify, defend, and hold the released parties harmless from and against any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your use of our site, your connection to our site, your violation of these terms, or your violation of any intellectual property rights of any other person or entity in connection with our site or any user content.

13. Dispute resolution

Please read this section carefully. It affects your rights and contains procedures for mandatory binding arbitration and class action waiver.

  1. Waiver of Rights.You agree that by accessing or using our site, you are waiving the right to a court or jury trial and the right to participate in a class action or class arbitration.
  2. Informal Dispute Resolution. We prefer to resolve any dispute that may arise under these Terms in an amicable fashion and encourage you to communicate any concerns to us at the address provided at the end of these Terms.
  3. Agreement to Arbitrate
    1. You agree that any and all claims and disputes arising from or relating in any way to the subject matter of these terms or your access to or use of our site shall be finally settled and resolved through binding individual arbitration as described in this section.
    2. You and Wyffels agree that the following disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (1) any disputes seeking to enforce or protect, or concerning the validity of any of your intellectual property rights; (2) any dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (3) any claim for injunctive relief. If this section is found to be illegal or unenforceable then neither you nor Wyffels will elect to arbitrate any dispute falling within that portion of this section found to be illegal or unenforceable and such dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction below, and you and Wyffels agree to submit to the personal jurisdiction of that court.
    3. This agreement to arbitrate involves interstate commerce, and, therefore, shall be governed by the Federal Arbitration Act, 9 U.S.C. 1-16 (“FAA”), and not by state law.
    4. This agreement to arbitrate is intended to be interpreted broadly pursuant to the FAA.
    5. The arbitration will be governed by the commercial arbitration rules and the supplementary procedures for consumer related disputes of the american arbitration association (“aaa”), as modified by this section.
    6. For any claim where the total amount of the award sought is $10,000 or less, you must abide by the following rules: (1) the arbitration shall be conducted solely based on telephone or online appearances and/or written submissions and (2) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties. If the claim exceeds $10,000, the right to a hearing will be determined by the AAA rules, and the hearing (if any) will take place in the federal courts of the United States or the courts of the State of Illinois in each case located in Henry County, Illinois.
    7. The arbitrator is bound by this agreement to arbitrate. You acknowledge and agree that, in any arbitration proceeding, no depositions will be taken, and all other forms of discovery of facts will be limited to those things that the arbitrator determines to be necessary. Further, in any arbitration proceeding: (1) there shall be no punitive, exemplary, incidental, or consequential or other special damages; (2) all damages, claims, and awards will be governed by Illinois law; (3) the parties will conduct the arbitration confidentially and expeditiously and will pay their own costs and expenses of arbitration, including their own attorney fees. If you prove that you are unable to afford the AAA fee, you agree to notify all persons against whom you have an arbitrable claim and give such persons the opportunity, individually and as a group, to pay such fee. The proceeding and the decision shall be kept confidential by the parties.
    8. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim.
    9. The arbitrator’s ruling is binding and may be entered as a judgment in any court of competent jurisdiction, or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be.
    10. Unless you opt out of this agreement to arbitrate in accordance with section 13(f), this agreement to arbitrate will survive termination of your access to or use of our site and your relationship with the released parties.
    11. All challenges to the validity and applicability of this agreement to arbitrate (I.E., whether a particular claim or dispute is subject to arbitration) shall be determined by the arbitrator.
  4. Information About Arbitration. Information on AAA and how to start arbitration can be found at www.adr.org. There is no judge or jury in arbitration. Arbitration procedures are simpler and more limited than rules applicable in court and review by a court is limited. You will not be able to have a court or jury trial or participate in a class action or class arbitration. Any dispute shall be arbitrated on an individual basis, and not as a class action, representative action, class arbitration, or similar proceeding. The arbitrator may not consolidate the claims of multiple parties.
  5. Challenges to Validity of Agreement to Arbitrate. You agree that all challenges to the validity and applicability of this agreement to arbitrate (I.E., whether a particular claim or dispute is subject to arbitration) shall be determined by the arbitrator. Notwithstanding any provision in the terms to the contrary, if the class action waiver above is deemed invalid or unenforceable, you agree the you shall not seek to, and waive any right to, arbitrate class or collective claims.
  6. Opt-Out of Agreement to Arbitrate. If you wish to opt out of the agreement to arbitrate, within 45 days of the effective date of these terms or when you first you our site, whichever is later, you must send us a letter stating: “request to opt-out of agreement to arbitrate” to:

  7. Venue for Litigation. If the arbitration provisions above are unenforceable in whole or in part, any subsequent legal suit, action, or proceeding shall be instituted exclusively in the federal courts of the United States or the courts of the State of Illinois in each case located in Henry County, Illinois.
  8. Prevailing Party. In any arbitration proceeding, suit, action, or claim, the prevailing party shall have the right to collect from the non-prevailing party its reasonable attorney’s fees and costs, including without limitation expenses and court costs.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the state of Illinois without giving effect to any choice or conflict of law provision or rule.

15. Changes to these term

We may revise and update these Terms from time to time in our sole discretion. We encourage you to review these Terms regularly. All changes are effective immediately when we post them. By continuing to use our Site, you agree that you accept those changes. We will take reasonable efforts to provide notice of material changes to these Terms, which may include posting a notice on our Site or sending notices via email or through another means of communication.

Our Site may contain links to websites owned or operated by third parties and are provided for your convenience only. We have no control over the contents of those websites and Wyffels does not endorse or assume responsibility for the content, policies, or practices of such third-party websites. Accessing such third-party websites is at your own risk and subject to the terms and conditions of use for such websites.

17. Disclaimer of liability for advice

Wyffels Hybrids provides general information and advice related to farming practices, agricultural products, and seed corn technologies. Our Site and Content are intended to serve as educational material and are based on industry knowledge and research available at the time. However, Wyffels makes no representations or warranties regarding the accuracy, completeness, or effectiveness of any advice or information provided. By using our Site, you acknowledge that any farming advice or recommendations are offered for informational purposes only. You agree that Wyffels shall not be held liable for any decisions, outcomes, or damages that may arise from your reliance on such advice, including but not limited to crop management, pest control, or other farming practices. It is always recommended that you consult with a qualified agricultural professional, local expert, or agronomist for advice tailored to your specific circumstances.

18. Additional terms

  1. Severability. If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, any warranty disclaimers and limitations of liability set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the applicable Terms shall continue in effect.
  2. Fraudulent Activity. If we suspect that you are engaging in any fraudulent, abusive, or illegal activity, we may refer such matter to appropriate law enforcement authorities.
  3. Survival. The provisions of these Terms which by their nature are intended to survive the termination or cancellation of these Terms shall continue as valid and enforceable obligations notwithstanding any such termination or cancellation. Without limiting the foregoing, the provisions of these Terms regarding indemnity and limitations of liability shall survive the termination or cancellation of these Terms.
  4. Waivers. Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision.
  5. Admissibility of Terms. A printed version of these Terms and of any notice given in electronic form shall be admissible in arbitration, judicial, or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
  6. Assignment. We reserve the right to transfer, assign, sublicense, or pledge these Terms, in whole or in part, to any person without notice, provided that any such assignment will be on the same terms or terms that are no less advantageous to you. You may not assign, sublicense, or otherwise transfer any of your rights or obligations under these Terms.
  7. Headings. The section headings and sub-headings contained in these Terms are for convenience only and have no legal or contractual effect.
